VexRank is an AI-powered SEO audit and optimization platform that provides automated website analysis, keyword research, content optimization, backlink monitoring, rank tracking, and related SEO tools. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with reasonable notice to paid subscribers.

Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.

Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

One Account Per Entity

Each individual or organization may maintain only one free account. Creating multiple free accounts to circumvent usage limits is a violation of these Terms.

Permitted Use

You may use VexRank to analyze websites you own or have explicit authorization to audit. Our tools are designed for legitimate SEO optimization and content improvement purposes.

Prohibited Activities

You agree NOT to: (a) use the Service for any illegal purpose or in violation of any applicable laws; (b) crawl, scrape, or index our platform or its underlying systems; (c) use automated scripts to interact with the Service beyond rate limits; (d) upload or transmit malware, viruses, or malicious code; (e) interfere with or disrupt the Service or its infrastructure; (f) use our AI tools to generate spam, deceptive content, or black-hat SEO tactics; (g) resell, sublicense, or redistribute the Service without explicit written permission.

AI Usage

Our AI-powered content generation and optimization tools are intended to assist with creating high-quality, original content. You are solely responsible for all content generated, published, or optimized through our platform. We do not guarantee that AI-generated content will comply with search engine guidelines.

Authorization

By submitting a URL for analysis, you represent and warrant that you own the website or have explicit permission from the owner to perform SEO audits on the site. You agree not to submit URLs of websites you do not own or have authorization to audit.

Crawl Behavior

Our crawler respects robots.txt directives and implements reasonable rate limiting. We do not overload target servers or engage in aggressive crawling. If you are a site owner who wants to opt out of our crawler, please contact us.

Data Collected During Crawls

During SEO audits, we collect publicly accessible information from the submitted website, including page content, HTML structure, metadata, and technical signals. This data is used solely for generating your SEO report and improving our algorithms.

Our IP

VexRank, its branding, logo, platform interface, AI models, algorithms, and all original content provided as part of the Service are the exclusive intellectual property of VexRank. These Terms do not grant you any rights to our intellectual property beyond the limited license to use the Service.

Your Content

You retain all rights to the content you submit, upload, or generate through the Service. By using our AI tools, you grant us a limited license to process your content solely for the purpose of providing and improving the Service.

SEO Reports

SEO audit reports and optimization recommendations generated by our platform are owned by you. You may use them for any purpose, including sharing with clients (subject to plan-based white-label restrictions).

Subscription Plans

VexRank offers Free, Starter, Pro, and Agency subscription plans. Paid plans are billed according to the terms displayed at the time of purchase. Prices are subject to change with 30 days' notice to active subscribers.

Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period unless canceled before the renewal date. You authorize us to charge your payment method for the renewal term.

Taxes

Prices displayed exclude applicable taxes. You are responsible for any sales, use, value-added, or similar taxes imposed on your use of the Service.

Refunds

Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference.

Uptime

We strive to maintain 99.5% uptime for paid plan subscribers. Scheduled maintenance is announced in advance. Force majeure events (natural disasters, major internet disruptions, etc.) are excluded from uptime calculations.

No Guarantee of Rankings

VexRank provides tools and recommendations to improve SEO, but we do NOT guarantee specific search engine rankings, traffic increases, or revenue outcomes. SEO results depend on numerous external factors beyond our control.

VexRank integrates with third-party platforms including WordPress, Shopify, Stripe, Google Search Console, and others. Your use of these integrations is subject to the respective third-party terms. We are not responsible for the availability, accuracy, or practices of third-party services.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VEXRANK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND.

By You

You may terminate your account at any time through your account settings. Termination takes effect at the end of your current billing period for paid plans, or immediately for free accounts.

By Us

We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice. In cases of severe violations, termination may be immediate and without refund. We will provide reasonable notice and an opportunity to remedy non-severe violations where possible.

Effect of Termination

Upon termination, your access to the Service ceases. Your data will be retained for 30 days before permanent deletion. You may request an export of your data during this period.

We may modify these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you disagree with the changes, you must discontinue use of the Service.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless otherwise required by applicable law.
